Build the carve out strategy and plan.
Challenge & Client Value:
3 major business units were acquired by the Private Equity firm. As of Day1 the newly formed company needed to be self-supporting in IT. Before Day 1 the time bracket was 6 months to set up the new IT organization, preserve continuity in operations and support of infrastructure, assign new responsibilities in application management for the business units The major challenge was to hit the ground running and Design the IT that will immediately strengthen the market position of the new company without the burden of a large and legacy organization. A big challenge was to execute the change securely, reassure continuity while arriving at a positive business case. Building up the own IT support is not an option – takes too long and shifts management attention away from the core business.
Whitebridge was asked to guide the change towards the new core IT services, to find the best IT partner and to project the Business Case,
Approach: Whitebridge delivered the results in 6 months, by driving the project for the client end-to-end with a mixed team covering all necessary aspects:
- Conducting a sourcing readiness scan to assess the current state and identify the best options to finalise the tender process
- Executed a ’Market Challenge’ to get full market insight and select the potential partner out of 10 feasible suppliers
- Build the effective plan to prepare for Day 1 and the following months. Collected all necessary Due Diligence data, worked with the leaving IT organization and prepared the new Company for their role
- Executed a benchmark with global data points of companies in comparable size and industry. The Benchmark included 2 key domains: 1. financial data on internal and external IT spend and 2. Qualitative IT organization structure, capabilities and size
- Build the contract coving the Master Services Agreement, Data privacy Agreement aligned with current legal requirements on Security and AI, including all schedules on Services, Governance, Transition & Transformation and Pricing. Led the contract negotiations.
- Managed all necessary dialogues to get internal Buy-in and the confidence of the Private Equity Firm
